Your Meazy.app Account and Site. If you create an account on the Website or the App, you are responsible for maintaining the security of your account and profile page, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the profile page. You must not describe or assign keywords to your profile page in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Meazy may change or remove any description or keyword that it considers inappropriate or unlawful, or otherwise likely to cause Meazy liability. You must immediately notify Meazy of any unauthorized uses of your account or any other breaches of security. Meazy will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

Please note that text chats and calls made through Meazy are not encrypted. Users should be aware that the information shared in these communications may be accessible to Meazy or its service providers.

Furthermore, your live calls are not private. The Meazy administrative team and/or third-party service providers facilitating the live calls may have access to the content of these calls.

Your Name, Image and Likeness. You agree that your name, image, likeness and description as shown in your Meazy account profile, as edited or approved by you, may appear in social media posts and/or digital advertisements, including videos and/or printed materials, created and distributed by Meazy, to raise awareness of Meazy and/or promote product benefits and/or announce or otherwise present the presence and/or availability of individual experts/users/contributors on Meazy.

Responsibility of Contributors. If you operate an account profile, comment on an account profile, post material to the Website/App, post links on the Website/App, or otherwise make (or allow any third party to make) material available by means of the Website/App (any such material, "Content"), You are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, or computer software.

Meazy does not guarantee the content or services provided by Users hosting live calls during these live calls or other interactions. For example, if a user seeks advice or interaction on a specific topic, there is no assurance that the hosting User will discuss that topic or provide the desired advice. Similarly, Meazy cannot guarantee the participation of the User in question. Meazy makes no claims regarding the accuracy, relevance, or quality of the content provided by the hosting Users.

By making Content available, you represent and warrant that:

• The downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
• If your employer has rights to intellectual property you create, you have either (i) received permission from your employer to post or make available the Content, including but not limited to any software, or (ii) secured from your employer a waiver as to all rights in or to the Content;
• You have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms;
• If you are citing to another URL, you give proper attribution to any cited and/or copied content;
• You have rights to any images used or they are marked as free for use;
• The Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;
• The Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content;
• The Content is not pornographic, does not contain threats or incite violence towards individuals or entities, and does not violate the privacy or publicity rights of any third party;
• Your account profile is not named in a manner that misleads your readers into thinking that you are another person or company;
• You have accurately categorized and/or described the type, nature, uses and effects of any materials, whether requested to do so by Meazy or otherwise.

By submitting Content to Meazy for inclusion on your Website/ profile page, you grant Meazy a world-wide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish the Content solely for the purpose of displaying, distributing and promoting your account/profile page. If you delete Content, Meazy will use reasonable efforts to remove it from the Website/database, but you acknowledge that caching or references to the Content may not be made immediately unavailable.

Responsibility of Website/App Visitors

Meazy has not reviewed, and cannot review, all of the material, including computer software, posted to the Website/App, and cannot therefore be responsible for that material's content, use or effects. By operating the Website/App, Meazy does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful.

Content Posted on Other Websites

We have not reviewed, and cannot review, all of the material, including computer software, made available through the websites and webpages to which Meazy.app/Meazy App links, and that link to Meazy.app/Meazy App. Meazy does not have any control over those non-Meazy websites and webpages, and is not responsible for their contents or their use.

Copyright Infringement and DMCA Policy

As Meazy asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by Meazy.app/Meazy App violates your copyright, you are encouraged to notify Meazy in accordance with the Digital Millennium Copyright Act ("DMCA") of 1998.

Intellectual Property

This Agreement does not transfer from Meazy to you any Meazy or third-party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Meazy.

Ownership of Meazy Content

ALL content created and presented on Meazy by and between Users in the Meazy App(s) or on the associated Meazy website in whatever form, including text, audio and video formats, is the sole property of Meazy. This ownership extends to all content shared on Meazy by any means, including but not limited to profile pictures, direct messages (DMs), thumbnails, Live Meazes, comments, and any other user-generated content.

Changes to Terms and Conditions

Meazy reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes.

Termination of Access

Meazy may terminate your access to all or any part of the Website/App at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your Meazy.app / Meazy App account (if you have one), you may simply discontinue using the Website/App and/or delete your account. Please note that before requesting account deletion, you must ensure that your Meazies balance is zero. Any remaining Meazies must be withdrawn before the account can be deleted.

Disclaimer of Warranties

The Website/App is provided "as is". Meazy and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied. Meazy does not store or save video recordings of live calls. Once the live session ends, the video content is not retained or archived by Meazy.

Fraudulent Transactions and Withdrawal Policy

Meazy reserves the right to review and verify the legitimacy of all transactions, including Meazies earned through live calls or other interactions. In cases where Meazy determines that a transaction or any acquired Meazies were obtained through fraudulent means, misuse of the platform, or in violation of Meazy's policies, we reserve the right to deduct or revoke such Meazies, regardless of whether the live call or associated interaction was successfully completed.

General Representation and Warranty. You represent and warrant that (i) your use of the Website/App will be in strict accordance with the Meazy Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Website/App will not infringe or misappropriate the intellectual property rights of any third party. Indemnification. You agree to indemnify and hold harmless Meazy, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website/App, including but not limited to your violation of this Agreement.

Entire Agreement

This Agreement constitutes the entire agreement between Meazy and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Meazy, or by the posting by Meazy of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Website/App will be governed by the laws of the state of Delaware, U.S.A., excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in Dover, Delaware.
